Vanguard Renewables to Acquire Generate Upcycle’s North American Operations
Vanguard Renewables has signed an agreement to acquire Generate Upcycle's North American operations.
Upon closing, the combined company will operate an expanded infrastructure network across the U.S. and Canada, strengthening its ability to meet growing demand for organic waste diversion and low-carbon energy solutions.
The transaction is a response to broader shifts underway across the resource recovery market. As landfill capacity constraints grow, corporate sustainability commitments expand and organics diversion policies continue to emerge, demand is increasing for solutions that keep organic material out of landfills and put it to productive use. Through anaerobic digestion, those materials are transformed into renewable natural gas and other beneficial resources.
Upon closing, Generate Upcycle's anaerobic digestion facilities and advanced depackaging facilities operating across upstate New York and Ontario, Canada, are expected to join Vanguard Renewables' portfolio, bringing the combined platform to 19 facilities. The transaction also establishes Vanguard Renewables' presence in Canada's Clean Fuel Regulations market and creates additional recovery pathways capable of serving larger volumes of organic material across North America.

"By bringing together Vanguard Renewables and Generate Upcycle, we're creating more recovery pathways for customers, expanding our presence across strategic growth markets in the Northeast and Canada, and providing more reliable, long-term solutions for organic material diversion."
The transaction is expected to nearly double Vanguard Renewables' current operating capacity by adding approximately 565,000 tons of food waste processing and 1.1 Bcf of renewable natural gas production annually.

"By combining forces with Vanguard Renewables, we are creating a platform with the operational know-how and financial backing needed to support long-term growth and success."
The transaction is expected to close on Oct. 1, subject to the satisfaction of customary closing conditions.
